Terms of Service

Last updated: July 4, 2026

Agreement to these terms

These Terms of Service ("Terms") govern your access to and use of the OrderSync platform, website, APIs, and related software including the OrderSync WooCommerce plugin and Shopify app (together, the "Service"). The Service is operated by Sage Digital LLC ("OrderSync", "we", "us"), a US company. By creating an account, installing our plugin or app, or otherwise using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

The Service

OrderSync is an AI order-processing platform: it reads inbound purchase orders — PDFs, emails, spreadsheets, EDI files, and portal exports — and creates validated orders in your connected ERP or e-commerce platform. We may add, change, or remove features over time. Some capabilities depend on third-party systems you connect (such as WooCommerce or Shopify), and their availability is subject to those systems.

Accounts and eligibility

You must provide accurate account information and keep it up to date. You are responsible for safeguarding your credentials, API keys, and store connection secrets, and for all activity that occurs under your account. Notify us promptly of any unauthorized use. You must be at least 18 years old and able to form a binding contract to use the Service.

Store connections and credentials

When you connect a store, the OrderSync plugin or app may generate and share store credentials (such as WooCommerce REST API keys and a security token) with the Service so that OrderSync can read your catalog and create orders on your behalf. You authorize OrderSync to use those credentials for that purpose. You may disconnect at any time, which stops further processing; you are responsible for revoking credentials on your own store if you wish.

Acceptable use

You agree not to:

  • use the Service for any unlawful, infringing, or fraudulent purpose;
  • upload content you do not have the right to process, or that contains malware;
  • attempt to gain unauthorized access to the Service, other customers' data, or related systems;
  • interfere with or disrupt the integrity or performance of the Service; or
  • resell or provide the Service to third parties except as expressly permitted.

Your data and responsibilities

You retain all rights to the documents, order data, and store data you submit or connect ("Customer Data"). You grant OrderSync a limited license to process Customer Data solely to provide and improve the Service, as described in our Privacy Policy. You are responsible for the accuracy of the data you submit and for reviewing orders before they are fulfilled. OrderSync provides tools (review queues, confidence thresholds) to help, but final responsibility for orders entered into your systems rests with you.

Where OrderSync processes personal data on your behalf, our Data Processing Agreement applies and is incorporated into these Terms by reference. It sets out our obligations as a processor, the approved subprocessors, and the security measures in place.

Fees and plans

Paid plans and usage limits are described at the time of purchase. Fees are billed in advance and are non-refundable except where required by law. We may change pricing on a prospective basis with notice. Failure to pay may result in suspension or termination of the Service.

Third-party services

The Service integrates with third-party platforms (for example WooCommerce, Shopify, ERP systems, and EDI networks). Your use of those platforms is governed by their own terms, and OrderSync is not responsible for their availability, changes, or actions. Marketplace distributions of our plugin or app may also be subject to the terms of the applicable marketplace.

Intellectual property

OrderSync and its licensors own all rights in the Service, including the software, models, and documentation, except for Customer Data and any components we distribute under an open-source license (which remain governed by that license). We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription.

Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. OrderSync uses AI to extract and match order data and does not guarantee that every extraction, match, or created order is accurate; you are responsible for review.

Limitation of liability

To the maximum extent permitted by law, OrderSync will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our total liability arising out of or relating to the Service will not exceed the amounts you paid to OrderSync in the twelve months before the event giving rise to the claim.

Indemnification

You agree to indemnify and hold OrderSync harmless from claims, damages, and expenses arising out of your Customer Data, your use of the Service, or your violation of these Terms.

Termination

You may stop using the Service and disconnect at any time. We may suspend or terminate access if you breach these Terms or if required for security, legal, or operational reasons. On termination, your right to use the Service ends; sections that by their nature should survive (such as fees owed, disclaimers, and limitation of liability) will survive.

Changes to these terms

We may update these Terms from time to time. If we make material changes, we will update the "last updated" date and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance.

Governing law

These Terms are governed by the laws of the United States and the state in which Sage Digital LLC is organized, without regard to conflict-of-laws rules. Any disputes will be resolved in the courts located there, unless otherwise required by applicable law.
